VLCT Board Members Present (in person): President Jessie Baker, David Allaire, Bill Fraser, Mary Ann Goulette, Julie Hance, Delsie Hoyt, Ann Lawless, Ken Linsley, George Putnam, Georgette Wolf-Ludwig, and Lucrecia Wonsor

Agenda Item #1: Call to order by the President
President Jessie Baker called the meeting to order at 10:33 a.m.
Agenda Item #2: Additions and Deletions to the Agenda
Jessie Baker asked if there were additions or deletions and if not, offered to entertain a motion to adopt the agenda as is. David Allaire made a motion to accept the agenda as is. Mary Ann Goulette seconded the motion. The agenda was adopted unanimously.
Agenda Item #3: Consent Agenda
The consent agenda, including the minutes from September 15, 2022, and the Personnel Report for October, and the 2022 Q2 Financials, was motioned to approve by George Putnam and seconded by Delsie Hoyt. Approved unanimously.
Agenda Item #4: Organizational Update
Ted Brady began with thanks for all who attended Town Fair. Updates were provided on the new AMS, new FFA Coordinator begins later this month, the Welcoming and Engaging Communities Cohort has 8 communities (Richmond, Williston, Hinesburg, Brandon, Hartford, Putney, Middlebury, and Jericho) partnering with Abundant Sun. Ted Brady gave a reminder for all to visit the equity panel discussion on 10/7 at 9:00 am with various equity members and state officials as well as Abundant Sun. Ted also spoke about the Municipal Energy Resilience Grant Program. Ted closed out his update with some Save the Date items including Senator Leahy’s celebration (10/10 in Waterbury) and ANR’s Municipal Day (10/28 in Montpelier.)
Agenda Item #5: VLCT Committee Stipend Policy Approval
Bill Fraser introduced Ted Brady and invited him to explain the policy updates. Ted Brady shared a draft VLCT Committee Stipend Policy as recommended from the VLCT Equity Committee. The need for such a policy was recommended in the VLCT Justice, Diversity, Equity, Inclusion and Belonging three-year action plan adopted by the VLCT Board in spring of 2022. Board members made some minor grammatical revisions and raised some questions for clarification. David Allaire made a motion to approve the VLCT Committee Stipend Policy as amended. Mary Ann Goulette seconded. Approved unanimously.
Agenda Item #6: 2023 VLCT Budget
Seth Abbene introduced the 2023 VLCT Budget and provided an update that the 2021 audit has been completed recently and information will go out soon. Seth thanked the Joint Investment Committee for their assistance, time, and presented the 2023 budget for consideration. Seth fielded questions from the Board. Mary Ann Goulette motioned to adopt the 2023 VLCT budget as presented. Ann Lawless seconded. Approved unanimously.
Agenda Item #7: 2021/2022 VLCT Work Plan Update
Ted Brady provided a progress report on the 2021/2022 Work Plan previously approved by the VLCT Board of Directors.
Agenda Item #8: Leahy Board Resolution
Ted Brady asked the Board to approve a draft resolution honoring Senator Leahy. This resolution, if approved, would be presented on 10/10/22 in Waterbury. Mary Ann Goulette made the motion and Delsie Hoyt seconded. Approved unanimously.
Agenda Item #9: Other Business
The next meeting is scheduled for November 10, 2022, at 12:20 p.m.
Agenda Item #10: Adjourn
Jessie Baker entertained a motion to adjourn. David Allaire made the motion and Lucrecia Wonsor seconded. The meeting adjourned at 11:42 a.m.
